§ 1  Scope of Application

(1) These General Terms and Conditions ("GTC") apply to all orders placed through the online shop of Tentacle Sync GmbH.

(2) The offerings of Tentacle Sync GmbH are directed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law.

(3) Consumers within the meaning of Section 13 BGB are excluded from placing orders.

(4) By placing an order, the customer confirms that the order is placed in the course of their commercial, independent professional, or official activity.

(5) Conflicting or deviating terms and conditions of the customer shall not apply unless their validity has been expressly agreed to in writing.

§ 3  Formation of Contract

(1) The presentation of products in the online shop does not constitute a legally binding offer.

(2) By completing the order process, the customer submits a binding offer to purchase the selected goods.

(3) A contract is formed only upon express order confirmation or upon dispatch of the goods.

(4) The automated order confirmation merely confirms receipt of the order and does not constitute acceptance of the offer.

§ 4  Prices and Payment

(1) All prices are quoted net, exclusive of applicable statutory value-added tax (VAT), where applicable.

(2) For deliveries outside the European Union, additional customs duties, import VAT, local taxes, levies, brokerage fees, or other governmental charges may apply. Such costs shall be borne solely by the customer unless explicitly stated otherwise.

(3) Payment is exclusively in advance (prepayment) using one of the payment methods offered during checkout.

(4) Delivery will only be made after receipt of full payment. The purchase price becomes due immediately upon completion of the order.

(5) Tentacle Sync GmbH reserves the right to exclude individual payment methods in specific cases.

(6) The customer may only offset claims that are undisputed or have been finally determined by a court of law.

§ 5  Delivery and Shipping

(1) Deliveries are made worldwide, unless statutory, regulatory, export control, sanctions-related, or logistical restrictions apply.

(2) Delivery dates and periods are non-binding estimates unless expressly agreed as binding.

(3) Partial deliveries are permitted to the extent they are reasonable for the customer.

(4) Delays due to force majeure or circumstances beyond the control of Tentacle Sync GmbH shall extend the delivery period by an appropriate amount of time.

(5) Force majeure includes in particular: natural disasters, war, terrorism, embargoes, strikes, pandemics, governmental measures, cyberattacks, disruptions to global supply chains, and transport or logistics disruptions.

§ 6  Retention of Title

(1) All delivered goods remain the property of Tentacle Sync GmbH until all present and future claims arising from the business relationship have been settled in full.

(2) The customer shall handle goods subject to retention of title with due care and shall notify Tentacle Sync GmbH immediately if third parties gain access to such goods.

§ 7  Voluntary Return Policy

(1) No statutory right of withdrawal exists, as the offerings are directed exclusively at entrepreneurs.

(2) Notwithstanding the foregoing, Tentacle Sync GmbH grants a voluntary right of return in accordance with the separately published Return Policy.

(3) The Return Policy applicable at the time of the order forms part of these GTC.

(4) The customer confirms having read and accepted the Return Policy by actively checking the corresponding checkbox during the checkout process. The order cannot be completed without this confirmation.

§ 8  Duty to Inspect and Give Notice of Defects

(1) The customer must inspect the goods immediately upon receipt for completeness, defects, and transport damage.

(2) Apparent defects must be reported in writing within 14 calendar days of receipt of the goods.

(3) Hidden defects must be reported in writing immediately upon discovery.

(4) In all other respects, the statutory provisions shall apply. Section 377 of the German Commercial Code (HGB) shall apply where the customer is a merchant within the meaning of the HGB.

§ 9  Warranty

(1) The statutory warranty provisions applicable to commercial transactions shall apply.

(2) In addition, Tentacle Sync GmbH grants a voluntary manufacturer warranty for a period of two (2) years from the date of delivery.

(3) The voluntary manufacturer warranty does not cover damage caused by:

• improper use
• improper installation
• unauthorised modifications
• normal wear and tear
• accidents
• external influences
• failure to follow operating instructions

§ 10 Liability

(1) Tentacle Sync GmbH is liable without limitation for: intentional misconduct, gross negligence, injury to life, body, or health, and claims under the German Product Liability Act (Produkthaftungsgesetz).

(2) In cases of ordinary negligence, Tentacle Sync GmbH is only liable for breaches of material contractual obligations (cardinal obligations).

(3) In such cases, liability is limited to foreseeable, typically occurring contractual damage.

(4) Liability for loss of profit, production downtime, data loss, or other indirect or consequential damages is excluded to the extent permitted by law.

§ 11 Export Controls and Sanctions

(1) The customer undertakes to comply with all applicable export control and sanctions regulations.

(2) The customer shall not transfer the products, directly or indirectly, to countries, regions, or persons where such transfer would violate applicable export or sanctions regulations.

(3) Tentacle Sync GmbH reserves the right to reject orders or suspend deliveries if export control or sanctions-related concerns arise.

(4) Tentacle Sync GmbH may request information regarding the end user, end use, destination, or intended application of the products where required by law or internal compliance procedures.

§ 12 Data Protection

Personal data is processed in accordance with the GDPR and the current Privacy Policy.

§ 13 Contract Language

(1) The contract languages are German and English.

(2) Additional language versions may be provided for convenience only.

(3) In the event of discrepancies, inconsistencies, or differing interpretations between language versions, the German version shall prevail.

§ 14 Governing Law

These GTC and all contractual relationships between Tentacle Sync GmbH and the customer shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

§ 15 Jurisdiction

If the customer is a merchant, legal entity under public law, or special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship shall be Cologne, Germany.

§ 16 Severability

(1) Should any provision of these GTC be or become wholly or partly invalid, illegal, or unenforceable, the validity of the remaining provisions shall remain unaffected.

(2) Where a provision is invalid or unenforceable, the statutory provisions shall apply in its place.

(3) The same shall apply in the event of any omission in these GTC.
